Mr. Shannon practices primarily in the areas of corporate and commercial litigation, including substantial experience in litigating stockholder class and derivative actions in the Delaware Court of Chancery. He also has significant experience in litigating and providing advice regarding various proceedings under the Delaware General Corporation Law, such as actions for appraisal, indemnification, and dissolution. Mr. Shannon has been involved in numerous cases involving partnerships, limited partnerships, and limited liability companies; and frequently counsels directors, stockholders, and other parties on their rights and obligations under Delaware law. He was named by Chambers USA: America's Leading Lawyers for Business as one of the leading commercial litigators in Delaware and was named in the most recent edition of The Best Lawyers in America.

Prior to joining the firm, Mr. Shannon served as an accountant for Deloitte, Haskins & Sells, and as a Financial Officer for J.P. Morgan & Company. In light of his financial background, Mr. Shannon has been involved in numerous appraisal proceedings and other cases that address financial and accounting issues. He also has been involved in advising special committees in connection with investigations of alleged wrongdoing (including accounting irregularities).

Mr. Shannon has participated in many significant corporate law cases, including representing a defendant in In re The Walt Disney Company Derivative Litigation (challenging the compensation paid to Michael Ovitz), which resulted a judgment in favor of defendants following an nine-week trial. Other significant cases in which he has been involved include In re NCS Healthcare, Inc. Shareholders Litigation (the Omnicare case), In re Pure Resources Shareholders Litigation, and In re Siliconix Incorporated Shareholders Litigation.
